Contractual Relationship
The Platform, provided by B2B Pharma Inc. (hereinafter referred to as the “Company”), is a professional tool designed to facilitate communication between dispensing pharmacies terms & conditions and specialized prescription pharmacies (Recordbate) and to simplify the reconciliation of drug purchases and professional allocations. These distinct solutions are part of the web application (hereinafter referred to as the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, the Privacy Policy, or do not consent to the Company’s use of your data as described in the Privacy Policy, you must not use the Platform. Modification of Terms and Conditions
The Company reserves the right to modify these Terms of Use at any time without prior notice. The updated version will be available each time you access the Platform, and changes will take effect immediately upon posting. By continuing to use the Platform after such modifications, you agree to the revised Terms of Use.
Compliance with Laws and Regulations
You agree to comply with all applicable laws and regulations when using the Platform and must not violate its security.
International Use
The Platform is intended for users in Canada only. The Company makes no representation that the Platform is suitable or lawful for use outside Canada. Accessing the Platform from territories where its content is illegal is prohibited. If you access the Platform from outside Canada, you do so at your own risk and are responsible for compliance with local laws and regulations.
Services
Recordbate Section
The Platform facilitates communication between dispensing pharmacies and compounding pharmacies for ordering compounded medications.
- You acknowledge that the Platform does not provide drug transportation services, and the responsibility for transportation lies with the compounding pharmacy.
- The Platform does not provide drug compounding services, and all responsibilities related to compounding (e.g., professional liability, quality, labeling, preservation) rest with the compounding pharmacy.
Recordbate Accounting Section
The Platform simplifies the reconciliation of drug purchases from various suppliers and professional allocations in pharmacies.
- You acknowledge that the Platform does not guarantee the accuracy of purchase data or professional allocations. The Company is not responsible for accounting errors related to accounts receivable or other financial discrepancies.
Professional Responsibilities
- The Company is not liable for errors or omissions in the preparation or delivery of medications or for any damages suffered by patients following the use of medications.
- Users are responsible for maintaining the confidentiality of sensitive information (e.g., prescriptions, patient data) transmitted on the Platform. The Company is not liable for breaches of confidentiality by users.
Use by Pharmacy Staff
If pharmacists permit employees to use the Platform, the pharmacists remain responsible for any errors, omissions, breaches of patient confidentiality, or misuse of the Platform by their staff.
Restrictions
You may not:
- Remove copyright, trademark, or proprietary notices from the Platform.
- Reproduce, modify, distribute, license, sell, or publicly display the Platform without the Company’s express permission.
- Decompile, reverse engineer, or disassemble the Platform, except as permitted by applicable law.
- Create mirror sites, insert links, or frame any part of the Platform.
- Use scripts or programs to scrape, index, or mine data from the Platform.
- Attempt to gain unauthorized access to or damage the Platform or its related systems.
Ownership
The Platform and all associated rights are the property of the Company or its licensors. These Terms do not grant you any rights to the Platform, the Company’s name, logos, trademarks, or service marks.
Information Accuracy
- The Company strives to ensure the Platform is available and its content is accurate but does not guarantee its quality or accuracy. The Platform is provided “as is” and “as available.”
- Users are responsible for the accuracy of the data they enter into the Platform and must ensure all information provided to pharmacies is true, complete, and up-to-date. The Company may suspend or delete profiles with inaccurate or outdated information.
Platform Availability
- The Company does not guarantee uninterrupted, error-free operation of the Platform or that communications will be free of interception, viruses, or other harmful elements.
- The Company is not liable for any inability to use the Platform, damage to devices, data loss, or errors in the Platform’s content.
- Maintenance operations may temporarily limit access to the Platform.
Security
While the Company employs measures like TLS/SSL encryption to secure communications, it cannot guarantee the security of information transmitted over the Internet. Users assume all risks associated with online communication.
Intellectual Property
The Platform’s content, including text, graphics, trademarks, and logos, is protected by copyright and trademark laws and is the property of the Company. Unauthorized copying, publishing, or distribution of the Platform’s content is prohibited.
Account Creation
To use the Platform, users must create an account to:
- Submit requests.
- Store and access information across devices.
- Protect information against loss or theft.
By creating an account, users agree to:
- The collection, use, and disclosure of personal information as outlined in the Privacy Policy.
- Not hold the Company liable for information provided by pharmacists or other users.
- Maintain the confidentiality of account information and notify the Company of any security breaches.
- Submit only original, appropriate content and not create multiple profiles or profiles for third parties without consent.
- Acknowledge that posted content becomes the Company’s property and may not be fully deletable.
- Accept that the Platform may include targeted advertising, and the Company may receive remuneration for such advertising.
Additional Terms for Healthcare Professionals
Healthcare professionals (hereinafter “Professionals”) must comply with these additional terms:
- Professionals must use their real name, business contact details, and (if applicable) an actual photo for their public profile.
- Pharmacists must be in good standing with their professional order to participate on the Platform.
- Buyers agree to pay preparation costs to sellers, and cancellations of accepted requests must be agreed upon by the seller or paid in full by the buyer.
- Sellers must prepare accepted orders within the agreed timeframe and communicate any delays or changes promptly.
Acceptable Use and Termination
The Company reserves the right to suspend or terminate your access to the Platform if you violate these Terms of Use or harm the user experience. The Company is not liable for any inconvenience or losses resulting from such actions.
Liability Limitation
The Company is not liable for any damages (e.g., personal injury, lost profits, data loss) arising from your use of or inability to use the Platform, regardless of the cause. You agree to indemnify the Company and its affiliates against any claims, losses, or damages resulting from your use of the Platform.
